1. Scope
This Agreement governs participation by a professional, self-employed person or business (the “Provider”) in the Platform owned and operated by רומן סבלוב.
The Platform provides technology infrastructure through which a Provider may receive enquiries from prospective clients (“Leads”). The Provider acts independently and performs any professional service directly for the client if the parties decide to work together.
2. Registration and Provider requirements
The Provider confirms that they are an adult with legal capacity, are entitled to carry on the stated activity, and are independently responsible for any licence, permit, insurance, business registration or other requirement applicable to their work.
One Provider account is associated with one profession at a time. The Provider must keep identity, professional, service, language, geographic and other profile information accurate and current.
Account access must not be shared in a way that creates a risk of unauthorised access to client information.
3. Approval and moderation
The Platform may use manual or automatic account approval. Before approval, the Provider may be able to access the account and settings but will not normally participate in distribution of new Leads.
The Platform may request clarification, refuse approval, or temporarily or permanently restrict participation where reasonably justified, including for rule violations, inaccurate information, security concerns, complaints or legal requirements.
4. Services and Lead price
The Provider selects from the services available for the Provider’s profession. The current price of one Lead is displayed next to each service.
Lead prices are set by the Platform and may change. A price-change notice may identify the service, previous price, new price and effective date. A new price applies only to Leads issued after that effective date.
Unless stated otherwise, displayed amounts include VAT to the extent VAT is applicable by law.
5. Starter balance
The Platform may provide a starter or promotional balance for certain professions. Promotional balance is not a bank deposit or electronic money and cannot be withdrawn as cash or transferred to another person.
A starter balance is granted to an account once only. Changing profession does not create entitlement to another starter credit.
6. Online, Offline and schedule
The Provider decides when they are ready to receive paid Leads. Online means the Provider wishes to participate in distribution; Offline removes the account from normal automatic distribution.
The Provider may remain Online without a schedule or set working intervals. A manual Offline choice takes priority over the schedule.
Eligibility for an individual Lead may require account approval, no administrative block, a selected service, matching geography, language and other parameters, sufficient balance and effective Online status.
7. Lead distribution
The same client request may be provided to several suitable Providers. A Lead is not exclusive unless the Platform expressly states otherwise.
Under the current model, a request may be distributed to up to five suitable Providers.
A Lead is information about a prospective client, not a guaranteed job. The Platform does not guarantee that the client will answer, enter into an agreement, purchase a service or generate any particular revenue.
8. Lead charges
The applicable Lead price is deducted from the Provider’s internal balance when the Lead is issued to that Provider in accordance with the Platform’s technical logic. The price is the valid service price at the time of issue.
Repeated technical processing of the same transaction should not result in a duplicate charge for the same Lead Recipient.
If the balance is insufficient, the Provider will not be eligible for a Lead whose price exceeds the available balance. If the balance falls below the relevant minimum Lead price, receipt of new Leads may be automatically suspended.
9. Relationship with the client
After receiving a Lead, the Provider contacts the client directly. The professional-service agreement, service price, timing, warranties, responsibility and other commercial terms are agreed directly between the Provider and the client.
The Provider must act lawfully, professionally and in good faith and comply with any professional rules applicable to the Provider.
The Provider is independently responsible for taxes, accounting, documents, licences, insurance and other obligations associated with the Provider’s own business.
10. Use of client data
Data supplied with a Lead may be used only to handle the relevant request, contact the client, provide an agreed service and for lawful related purposes.
The Provider must protect personal data and may not sell it, disclose it without a lawful basis, use it for unrelated mass marketing or otherwise process it contrary to law or the client’s reasonable expectations.
11. Lead status, comments and disputes
The Provider may use working Lead statuses and maintain an internal comment.
A Provider who believes a Lead is invalid may submit a dispute within 3 days after receipt. Grounds may include invalid contact details, a duplicate within the applicable deduplication period, clear mismatch with the service or an obviously fake request.
Changing the working status of a Lead does not by itself create a right to a refund.
Disputes are reviewed individually. The target review period is up to 14 business days. If a refund is approved, the amount actually charged for that Lead is credited back to the internal balance and the original financial record remains in the audit history.
12. Top-ups and unused balance
Balance top-ups may be processed by an integrated payment provider. The Platform does not store full payment-card details.
A Provider may request a refund of unused paid balance, excluding promotional credits. Amounts already charged for Leads are not unused balance and are refunded only under the Lead-dispute rules, mandatory law or a separate Platform decision.
Any mandatory cancellation or refund rights granted by applicable law remain unaffected.
13. Suspension and termination
The Provider may stop using the Platform and request account closure. The Platform may restrict or terminate participation for breach of this Agreement, unlawful conduct, security risk, abuse, repeated substantiated complaints or a legal requirement.
Account deletion or deactivation does not require deletion of records that must be retained for financial audit, dispute resolution, compliance with law or protection of legitimate interests.
14. No guarantee of Lead volume
The Platform does not guarantee any minimum or maximum number of Leads, frequency of Leads, commercial value or conversion rate.
15. Liability
The Provider is responsible for the Provider’s own conduct, service quality and relationship with the client. To the maximum extent permitted by law, the Platform is not liable for lost profit, failure to enter into a transaction with a client or conduct of third parties.
Nothing in this Agreement limits liability that cannot lawfully be limited.
16. Changes to this Agreement
The Platform may update this Agreement to reflect changes in the service or applicable law. Material changes may be communicated through the website, account or email. Continued use after an updated version becomes effective constitutes acceptance to the extent permitted by law.
17. Governing law
This Agreement is governed by the laws of the State of Israel. Subject to mandatory law, the competent courts in the Haifa District shall have jurisdiction.
